- Definitions and Purpose
The IDC Affiliate Program (the “Program”) is an initiative operated by IDC (“IDC,” “we,” “us,” or “our”) that allows registered users (“Affiliates”) to earn commissions on sales generated through a personal coupon code (the “Affiliate Coupon”).
By applying for and participating in the Program, the Affiliate agrees to be bound by these Terms and Conditions (the “Terms”).
- Enrollment in the Program
- Any natural person of legal age or legal entity may apply to join the Program by completing the registration process on idc.diamonds and providing accurate and up-to-date information
- IDC reserves the right, in its sole discretion, to approve or reject any application, without any obligation to provide reasons.
- Once approved, the Affiliate will be assigned a personal Affiliate Coupon and access to a dedicated area to monitor performance.
- Operation of the Coupon and Commissions
- The Affiliate may share the Affiliate Coupon with third parties through any online or offline channels the Affiliate deems appropriate, in compliance with applicable laws and these Terms.
- When an order is placed on idc.diamonds using the Affiliate Coupon, the Affiliate will earn a commission equal to 3% of the net revenue generated by that order, excluding taxes, fees, shipping costs, and any subsequent returns or refunds.
- Commissions are granted only on orders that:
– are properly tracked and associated with the Affiliate Coupon through IDC systems;
– have been fully paid by the customer; and
– have not been canceled, refunded, or subject to chargebacks.
- Balance Tracking and Reporting
- The Affiliate may monitor balance, accrued commissions, and transaction history through the dedicated section of the private area on idc.diamonds.
- The information displayed in the private area constitutes the primary reference for commission calculations; however, IDC reserves the right to correct technical errors or discrepancies.
- Commission Calculation and Payments
- IDC will periodically calculate commissions accrued by the Affiliate based on confirmed orders associated with the Affiliate Coupon.
- Commissions will be deemed finally earned only after the expiration of the period established by IDC for handling returns, refunds, and disputes, in accordance with IDC’s then-current commercial policies.
- Commission payments will be made by bank transfer, or any other method that may be specified by IDC, on a periodic basis, typically monthly, using the payment details provided by the Affiliate.
- No mandatory minimum balance threshold is required for payments; however, for administrative reasons, IDC may aggregate small amounts into the next scheduled payment.
- The Affiliate is responsible for providing and maintaining accurate and up-to-date payment details. IDC will not be liable for delays or failed payments resulting from incomplete or incorrect information.
- IDC may withhold or delay payments in the event of suspected fraud, breach of these Terms, or ongoing compliance checks or investigations.
- Use of the Coupon and Affiliate Conduct
- The Affiliate agrees to promote IDC and the Affiliate Coupon in an honest, transparent manner and in compliance with applicable laws, including rules relating to advertising, commercial communications, consumer protection, and any disclosure requirements applicable to affiliate relationships in the Affiliate’s market.
- The following activities are strictly prohibited, including without limitation:
– using spam techniques or deceptive or misleading practices;
– promoting the Affiliate Coupon in illegal, offensive, or otherwise inappropriate contexts or in violation of IDC policies;
– using trademarks, logos, domains, or social media accounts that imitate or suggest that the Affiliate is IDC or an official IDC website; or
– making offers, promotions, or statements that promise conditions or benefits different from those officially published by IDC. - IDC may at any time require the removal or modification of content that IDC deems inconsistent with its brand image, these Terms, or applicable law.
- Nature of the Relationship and Affiliate Independence
- Participation in the Program does not create any employment, agency, joint venture, partnership, franchise, or similar relationship between IDC and the Affiliate.
- The Affiliate acts solely as an independent contractor and is not authorized to hold themselves out as an employee, agent, legal representative, or partner of IDC, nor to bind IDC in any manner with respect to third parties.
- The Affiliate operates independently, without any obligation regarding working hours, location, or continuity of activity, and is not subject to instructions or controls comparable to those typical of an employment relationship.
- The periodic nature of commission payments is for administrative convenience only and does not constitute, and may not be interpreted as, payment of a fixed salary or wage.
- Excluded Countries and Sanctions Compliance
- The Program is not available to individuals, legal entities, or other parties located in, resident in, incorporated in, or otherwise subject to the jurisdiction of any country or territory that is subject to sanctions, embargoes, or trade restrictions imposed by the United States.
- IDC reserves the right to refuse, suspend, or terminate participation in the Program at any time if an Affiliate is found to be subject to such restrictions or to be in violation of applicable U.S. sanctions or export control laws and regulations.
- The Affiliate represents and warrants that they are not subject to such restrictions and agrees to promptly notify IDC of any material change in their status.
- Term, Suspension, and Termination
- The affiliate relationship is of indefinite duration and begins on the date the application is approved by IDC.
- The Affiliate may terminate participation in the Program at any time by requesting closure of their account in accordance with IDC procedures.
- IDC may suspend or terminate the Affiliate’s account, with immediate effect, in the event of breach of these Terms, suspected fraudulent activity, misuse of the Affiliate Coupon, or conduct deemed harmful to IDC or its customers.
- Upon termination, IDC will, where possible, pay commissions that were already accrued and confirmed as of the termination date, subject to any setoff for canceled, refunded, or fraudulent orders.
- Data Protection
- The Affiliate’s personal data will be processed by IDC in accordance with applicable data protection laws and the Privacy Policy available on idc.diamonds.
- The Affiliate agrees to handle any personal data accessed in connection with the Program in compliance with applicable data protection and privacy laws.
- Tax Matters and Affiliate Responsibility
- The commissions paid to the Affiliate under the Program are commission-based and are calculated on the revenue generated through the Affiliate Coupon, as described in these Terms.
- The Affiliate is solely responsible for complying with all tax and social security obligations applicable in their country of residence or tax domicile, including, by way of example, any registration requirements, record-keeping, invoicing or documentation obligations, income reporting, and the payment of taxes, social contributions, or other charges arising from commissions received.
- IDC does not provide tax, legal, or social security advice and strongly recommends that each Affiliate consult a qualified professional in their country to determine the correct tax treatment of commissions and the related obligations.
- Where applicable law requires IDC to withhold taxes, withholding at source, or other charges from commissions payable to the Affiliate, IDC may make such withholdings and, where required, issue the relevant documentation. In such cases, the net amount paid to the Affiliate will be reduced by the amounts withheld in accordance with applicable law.
- Limitation of Liability
- IDC does not guarantee any minimum level of commissions or earnings for the Affiliate; results depend solely on the Affiliate’s promotional activities and on the behavior of end customers.
- To the fullest extent permitted by applicable law, IDC will not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, loss of business opportunities, or damages arising from service interruptions, technical issues, tracking errors, or malfunctions attributable to third parties.
- Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
- Governing Law and Jurisdiction
- These Terms will be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to any choice-of-law or conflict-of-law principles.
- Any claim, dispute, or controversy arising out of or relating to these Terms, the Program, or the relationship between IDC and the Affiliate will be submitted exclusively to the state or federal courts located in the State of Delaware, and each party irrevocably consents to the jurisdiction and venue of those courts.
- Changes to the Terms
- IDC reserves the right to modify these Terms at any time, including to reflect legal, technical, or commercial changes.
- Any changes will be published on this page and, where required or deemed appropriate, communicated to Affiliates through available channels, such as email or notifications in the private area.
- Continued participation in the Program after publication of updated Terms constitutes acceptance of those changes. If the Affiliate does not agree, the Affiliate must stop using the Affiliate Coupon and request closure of their account.
